A breakdown of Hong Kong company registration costs in 2026 — government fees, company secretary, audit and a three-year budget, with a quotation checklist to help you avoid low-price renewal traps.

Hong Kong Company Registration Costs in Full (2026): Year One, Renewals and the Three-Year Total

Hong Kong company registration costs cover a one-off incorporation fee, business registration, a company secretary, a Hong Kong registered address and the audit work that follows. The government baseline for electronic incorporation is HK$3,895, but your budget also has to compare renewal and accounting costs. NT$ figures below are estimated at roughly HK$1 to NT$4.15 for budgeting only; the applicable rate is the one on your transaction date. Bank of Taiwan exchange rates

The bottom line first: year one is more than HK$3,895

Item Year one From year two How to read it
Electronic incorporation of a limited company HK$1,545 / about NT$6,400 One-off government fee
One-year business registration certificate HK$2,350 / about NT$9,800 From HK$2,350 Current 2026/27 rate
Company secretary + registered address Market budget HK$2,500–5,000 per year Same, or per renewal quote Not a government-set price
Annual return NAR1 HK$105 / about NT$440 Filed on time
Audit, bookkeeping and profits tax filing Quoted case by case Largest variable Should not be assumed to be a free add-on
Green box, company chop, share certificate book Optional purchase Not a statutory government fee

Electronic incorporation plus a one-year business registration certificate already comes to HK$3,895, or about NT$16,200; paper incorporation comes to HK$4,070, about NT$16,900. The authoritative sources for government fees are the Companies Registry fee table and the Inland Revenue Department's business registration fee and levy table.

Why does the ad say "from HK$1,500" when checkout costs more?

HK$1,545 is close to the government fee for electronic incorporation itself, but it does not necessarily include the HK$2,350 business registration certificate, a registered address, secretary renewals, NAR1 or the audit work that follows. When comparing quotes, ask first about the second-year renewal price and which items are billed separately; do not compare year-one incorporation prices alone.

Government fees: electronic, paper and the annual return

Electronic submission for a company limited by shares costs HK$1,545 to incorporate; paper costs HK$1,720. If the information passes system verification and the company name needs no further review, the electronic certificate is usually issued in about an hour; paper usually takes about four working days. That is not the same as any service provider's overall turnaround time. Companies Registry guidance

A one-year business registration certificate costs HK$2,350 from 1 April 2026 to 31 March 2027; a three-year certificate costs HK$6,170. At current prices, the three-year certificate is HK$880 cheaper than three one-year certificates, but it ties up cash earlier, and you cannot assume future-year rates will stay unchanged.

A private company files NAR1 within 42 days of its anniversary date at a fee of HK$105; late filing rises in steps to HK$870, HK$1,740, HK$2,610 and HK$3,480, with no room for a self-granted waiver. Annual return rules

A company secretary and registered address are not optional extras

A private company must have at least one natural-person director, a company secretary and a Hong Kong registered address; where there is only one director, that director cannot also serve as the company secretary. Companies Registry FAQ A company secretary does not necessarily have to be a TCSP, but if you engage a provider of trust or company services, verify the licence and name against the official TCSP register.

In the open market, the combined annual cost of a secretary, NAR1 filing and an address for a simple company commonly falls between HK$2,500 and HK$5,000. That is a market benchmark, not a statutory uniform price, and the quote should spell out whether the address, mail scanning and forwarding, shareholding changes and second-year renewal are included. Audit and profits tax: a nil return is not a get-out

When a company first receives a profits tax return and is required to file, it may need to handle bookkeeping, audit and tax filing; the timing depends on the first accounting year and the individual case. The Inland Revenue Department in principle requires a corporation to submit audited financial statements with its profits tax return, with separate conditions for exceptions such as statutorily dormant companies. IRD filing guidance Having no income or not yet trading still does not mean you can skip record-keeping, filing or audit.

Cross-border e-commerce, standalone online stores and SaaS businesses often generate extra work from multi-currency conversion, platform reconciliation, offshore receipts and payments, and related-party transaction data. Based on published market quotes, audits for small startups commonly run HK$9,000–14,000, while more active businesses can reach HK$15,000–30,000, and these figures usually exclude bookkeeping and tax filing. The three-year total: budget by scenario, not by the year-one promotional price

The table below uses a three-year government baseline of HK$8,805 — HK$3,895 plus two business registration payments of HK$2,350 and two NAR1 filings — and assumes future rates stay at current levels. Business registration fees after April 2027 will need to be updated against the announcement made at that time.

Scenario Three-year budget Included and excluded
A. Legally meets dormancy conditions, no transactions HK$16,300–23,800 / about NT$67,700–98,800 Government baseline + three years of secretary and address; dormant status must be separately confirmed
B. Low-volume e-commerce or SaaS HK$40,000–64,000 / about NT$167,000–265,000 A + two audit cycles and a basic bookkeeping budget
C. Multi-currency receipts, cross-border operations HK$64,000–120,000+ / about NT$267,000–498,000+ Higher bookkeeping and audit complexity; excludes bank or payment platform fees

This is a budget model, not a fixed quote. The difference between scenarios B and C usually lies not in the incorporation fee but in transaction volume, completeness of the books, foreign-currency accounts, related-party transactions and the time spent supplying missing documents.

Applicants from Taiwan and China, bank accounts, and a Singapore comparison

The Hong Kong Companies Registry states clearly that directors do not need to be Hong Kong residents. Applicants from Taiwan or China generally still need to prepare a passport, proof of address from the last three months, NNC1, the articles of association and IRBR1, and to cooperate with the service provider's identity verification. Electronic statutory registration itself does not require travelling to Hong Kong; a bank account involves a separate review process.

Traditional banks, digital banks and cross-border payment platforms are external tools available in the market, not this site's own products. Account-opening fees, whether an interview is required, timelines and approval outcomes are decided by each institution based on the business, beneficial owners, source of funds and transaction data; nothing is guaranteed, and these costs should not be folded into company registration fees. HKMA account-opening guidance

For comparison, ACRA's government setup fee for a company in Singapore is SGD 315 — SGD 15 for the name application plus SGD 300 for incorporation. Foreigners must go through a CSP and meet local resident requirements, so SGD 315 is not an all-in price for a foreigner. ACRA business structures and fees Choosing between Hong Kong and Singapore should be based on two years of service, compliance and payment collection needs, and should not be used to draw any tax conclusion.

Frequently asked questions

What is the minimum cost of setting up a Hong Kong limited company?

On a 2026/27 electronic incorporation basis, government fees start at HK$3,895, about NT$16,200; in practice you also need to add a company secretary and a Hong Kong registered address.

How much does it cost each year from year two?

At a minimum, budget for business registration, NAR1, the secretary and the address. At current government fees, the first two total HK$2,455; audit, bookkeeping and tax filing are quoted case by case.

Do Taiwanese or Chinese applicants have to go to Hong Kong in person to register?

The electronic registration procedure itself does not require travelling to Hong Kong, and directors need not be Hong Kong residents; however, identity verification and bank account applications each have their own documentary requirements.

How long does it take to receive the certificate of incorporation and business registration certificate?

For an electronic private company limited by shares where no further review is needed, usually about an hour; paper usually takes about four working days, and this timeline should not be extended into any promise about bank account opening.

Is there any business registration fee waiver?

A waiver granted in the past does not mean it still applies. Check the IRD's latest business registration fee and levy table before paying.

How much extra does a bank account cost?

Budget for it separately. Banks, digital banks and payment platforms differ in account-opening fees, monthly fees, transaction fees and review standards, and these cannot be extrapolated from company registration costs.
