Suppose a Taiwanese brand already has a Hong Kong limited company and plans to add an operating location in Kowloon. A new address alone does not determine whether a branch registration is needed. First identify the operating entity, its actual activities, the name used with customers and the date it will start; then check the Hong Kong process. This guide concerns Hong Kong requirements only and does not determine Taiwanese-law obligations or liability in a particular case.
A branch is different from a separate limited company
A branch of an existing company and a new Hong Kong limited company follow different registration routes. A local company normally receives business registration with incorporation through the Companies Registry’s one-stop service. A branch is registered separately with the Inland Revenue Department (IRD) on Form 1(d). Its Branch Registration Certificate is not a Certificate of Incorporation, and business-registration records alone do not establish who is liable under a contract. See the IRD one-stop service FAQ and business-registration guidance.
What should you confirm before treating a location as a branch? Check the company’s incorporation and registration details, which entity will operate and sign contracts, and who receives revenue. Can branch registration replace a separate company? No. If the arrangement involves a different contracting entity, liability separation or contract transfers, ask a legal professional to review it.
Compare four records: legal entity, Companies Registry filing, business-registration record and contracting party. Document the existing company’s branch arrangement; if another company will take over, assess its incorporation separately. Keep confirmed facts and open questions in a decision note. For background, see the Hong Kong company incorporation process.
Assess registration needs by the actual place of business
The IRD includes in its business definition activities carried on for gain, in person or online. It also covers a Hong Kong-incorporated company whether or not it operates here, and certain non-Hong Kong companies with a Hong Kong place of business. Employment alone is not carrying on a business. The analysis depends on the entity, its Hong Kong activities and existing registration—not simply the number of addresses. See the IRD scope and application guidance.
What facts should you check at each location? Record address and use, actual activities, operating entity, customer-facing name, start date and existing registration details. Track the registered office, correspondence address and operating site separately; they may differ. How do you assess the requirement? Compare those facts with the IRD categories and ask the IRD if unclear.
An administrative contact site may differ from one where staff meet customers, deliver services or handle goods. A Taiwanese reader market does not change Hong Kong rules. For cross-border operations, record the Taiwan headquarters, Hong Kong contracting entity and any third-country fulfilment site separately. For shared offices or mail-receiving points, note staff presence, customer visits and goods handling. These facts help explain the arrangement to the IRD; address count alone is not a conclusion.
Prepare the name, address, business activity and commencement date
Before applying, list the main business’s name and registration details, proposed branch name and address, business description or nature, operating entity and actual commencement date. The Form 1(d) specimen shows fields for name, registration number, address, business nature and start date. It is for reference, not submission; use the current official form or online application.
What conditions or restrictions should you check? Keep the business name consistent with the entity and outward-facing documents. A business may register several names, but each additional registered name is treated as a branch. A name must not falsely suggest limited liability, another incorporated company name or a nonexistent Government or public-body connection. Reconcile brand, company and shop names before filing.
How should you establish the date and leave a usable record? Use the actual start of business, not the lease date or planned opening. Keep internal records that support the date and identify who confirmed it; submit documents required by the official application. The IRD requires an application within one month after commencement and will not accept one beforehand. Add source and reviewer columns to flag unresolved details; this is an internal handover practice, not an IRD requirement.
Check official application channels, deadlines and proof
Apply through GovHK. For a corporate branch, a director, manager or company secretary must be a BTP administrator or authorized user for registration matters. A corporate company secretary may use TRP for an appointed client. Confirm portal roles before filing. See the IRD online-application FAQ and electronic-services guidance.
What are the processing and download deadlines? For a properly completed application, the IRD’s service pledge is two working days; corrections or clarification can take longer. After submitting and paying, save the acknowledgement and Transaction Reference Number. The IRD emails when the result is ready; use the number to view it within two months of the notice date. The result may be a valid Branch Registration Certificate, a reply letter or both.
Certificate download uses a separate clock: after full payment of the applicable fee, levy and any penalty, it is normally available from 10:00 a.m. the next calendar day, for two months from payment. Record both deadlines; keep the PDF and receipt.
How do you verify submission and obtain evidence? Keep the acknowledgement and check the result’s name, address and validity. Online filing is available only when the branch starts during the main certificate’s validity. If it started before the certificate’s effective date, apply on paper. Follow any request and record submission, receipt and download.
Handle relocation, cessation and renewal separately
Report an address change to the Business Registration Office within one month, giving the registration number, business name, old and new addresses, and date. The IRD may request a lease or utility bill. A local company can use the Companies Registry’s optional one-stop e-service to change its registered-office and business addresses together. The Registry transmits registered-office changes; update business-registration details separately if the operating address also changes. See the IRD change-of-particulars guidance.
What should you do when a branch stops operating? Notify the IRD within one month with its number, name, address, cessation date, post-closure correspondence address and telephone. Fees and levies are due through the closure year. Moving does not replace a cessation notice; branch closure does not dissolve the company. See the IRD cancellation guidance.
How should you manage renewal? Follow the certificate expiry date and IRD demand note. A three-year election covers the main business and all new and existing branches; an existing business must elect at least one month before its certificate expires. Track expiry and payment together rather than assume a separate branch cycle. See the IRD three-year certificate guidance.
For handover, record old and new addresses and the move date; for closure, record the branch number, date and contact. If a site moves as another closes, list open locations separately.
Sync branch details with operational and banking records
Compare the certificate with the registration record and update a master file: main and branch names, numbers, addresses, activities, start and expiry dates, transaction reference, result, payment proof and owner. Keep dated notices for changes or closure. The IRD’s electronic-services page links to register details and monitoring tools.
Which operational records should be synchronized? Check quotations, invoices, contracts, website details and customer records. Confirm the contracting entity, matching registration number, and any effect of an address change on mail or service contacts. Ask each bank and payment platform what documents it needs; record the institution, date, documents, owner and status. These are external institutions: branch registration does not itself require a new account, and KYC requirements may differ.
How can you hand over and check the update? Use a monthly checklist for source, application and response dates, certificate download and next expiry. After updating accounting templates and customer-facing documents, ask a colleague to check a new quotation or invoice for consistent names, numbers and addresses. This is an internal control, not an IRD form.
