A Hong Kong private company limited by shares can be formed by non-residents. For straightforward cases where the documents are complete and the company name does not require further review, electronic submission usually produces the Certificate of Incorporation (CI) and Business Registration Certificate (BR) within about 1 hour. What deserves earlier planning is bank due diligence, accounting records, and the filing deadlines that arrive after the first year.
Four things to confirm before you file
1. Company type and name
Companies expanding overseas usually choose a private company limited by shares. If you have already incorporated abroad and are establishing a place of business in Hong Kong, you may instead fall under registered non-Hong Kong company rules, which follow a different procedure. An English name must end with Limited; a Chinese name must end with 「有限公司」. Search the name through the Companies Registry e-Services before filing so it is not too similar to an existing name.
2. Directors, shareholders, company secretary, and address
A private company must have at least one natural-person director and one company secretary. Directors do not need to be Hong Kong residents, but a sole director cannot also act as company secretary. If the company secretary is an individual, they must ordinarily reside in Hong Kong; if a body corporate, its registered office or place of business must be in Hong Kong. The registered office must also be in Hong Kong — an overseas address or a P.O. box is not acceptable.
3. Shareholding and identity details
Settle the shareholders, shareholding percentages, initial share capital, directors, and signatories first. Non-Hong Kong directors normally file using passport details; the Companies Registry forms ask for a Hong Kong identity card number, and those without one enter their passport number and the issuing country or region.
4. Do not treat "incorporation" as "getting a bank account"

For a private company limited by shares filed electronically, if the name and details pass system verification, the CI and BR are generally issued as PDFs within 1 hour of submission; paper filings for companies limited by shares generally take about 4 working days. Electronic certificates are retained in the system for only 6 months, so download and archive them immediately.
2026 registration costs: separate government fees from service fees
All figures below are in Hong Kong dollars (HK$) and reflect official information available as of 29 July 2026. Since 1 October 2020, the company registration fee for electronic submission has been 10% lower than for paper filing. Business registration fees and levies must be checked against the Inland Revenue Department's prevailing fee table for the date of submission or the certificate's effective date.

Scope varies widely between service providers, so ask for itemised first-year and renewal-year quotations; do not assume an "incorporation package" already covers the annual audit or bank account opening.

Filing remotely as a non-resident: run a document consistency check first
Principals based in mainland China, Taiwan, or Malaysia can incorporate a Hong Kong local limited company without travelling to Hong Kong. What matters on the registration forms is that identity, address, shareholding, and signature details all correspond to one another. If you file through the electronic service yourself, founder members must register a personal account and complete electronic signing as required.
Notarisation, proof of address, translation, or video identity verification are not uniformly required by the Companies Registry for every incorporation, but company secretarial service providers, banks, and payment institutions may request additional documents under their own KYC rules. Confirming document versions, name spellings, address dates, and translation requirements up front reduces back-and-forth corrections.
Why bank account opening often stalls
Bank account opening is an external financial service in the market, and no incorporation procedure can guarantee the outcome. Commonly reviewed materials include a business plan, website or product information, customer and supplier contracts, projected transaction flows, source of funds, and evidence of actual operations.
Rejections often come from business descriptions that are too general, an absence of operating evidence, an overly long ownership chain, or an industry classified as higher risk. Traditional banks and virtual banks are different options in the market and should be compared by settlement currency, transaction regions, team location, and compliance requirements. Beyond the higher registration fee, a late NAR1 can also expose the company and its officers to prosecution. Continued default carries a maximum fine of 50,000, plus a daily default fine of 1,000.
