To change your Hong Kong company secretary, first establish whether the registered officeholder is changing. Coordinate cessation, appointment and statutory filings, then transfer records, account access and unfinished work. A different service contact does not necessarily mean a different statutory secretary. For owners managing a Hong Kong company from Taiwan, written responsibilities and effective dates help keep the handover on track.
This guide concerns operating private companies incorporated in Hong Kong. Other company types, re-domiciled companies and companies with statutory dormant status require separate checks.
Confirm Who Is Changing and What the Handover Covers
Compare company records, the existing contract and proposed appointment documents. The same brand can involve different legal entities; different brands may use the same corporate secretary.
| Role | What to verify |
|---|---|
| Registered secretary | Full individual or corporate name against company records |
| Contracting party | Who charges, promised work and termination terms |
| Incoming provider | Who will hold office, submit filings or undertake regulated work |
A different individual or body corporate requires appointment and cessation procedures. Changes to the same secretary's name or address are changes in particulars. Branding, email domains and contact names cannot establish legal identity.
An individual secretary must ordinarily reside in Hong Kong; a corporate secretary must have a registered office or place of business there. See the Companies Registry's eligibility guidance. A Hong Kong identity card alone does not establish residence. The sole director cannot also be secretary; a private company with one director cannot appoint a corporate secretary whose sole director is that same person. See the private-company appointment restrictions.
Check eligibility separately from Trust or Company Service Provider (TCSP) licensing. Request the actual provider's full name and licence number, or specific statutory exemption grounds. Use the official TCSP register; a website's licence number cannot replace checking the actual provider when appointing them.
For exemptions, assess the person's status and business structure against the official licensing pamphlet. Do not assume every company founded by an accountant or lawyer is exempt, or that an advisory brand is itself the licensed provider.
Coordinate Cessation, Appointment and Filing Deadlines
Obtain written acceptance from the incoming secretary, then follow the company's articles and valid corporate decisions. Contractual notice, internal procedures and statutory deadlines serve separate purposes. Paying the outgoing provider or signing a new contract does not complete appointment and filing requirements.
| Stage | Action | Evidence to retain |
|---|---|---|
| Before the change | Confirm eligibility, acceptance, contractual notice and corporate procedures | Contracts, confirmations, resolutions or notices |
| Effective date | Coordinate cessation and appointment; allocate pending work | Effective dates and responsibilities |
| After each event | Deliver ND2A within the applicable deadline; follow up rejection or correction requests | Signed forms, submission records and correspondence |
ND2A must be delivered within 15 days after appointment or cessation. This filing period is not a 15-day grace period for leaving the office vacant. If cessation and appointment occur on different dates, track each deadline separately. Handover disputes do not automatically extend statutory deadlines. See the Companies Registry's statutory filing guide.
Suppose the existing contract is expiring but the replacement has not accepted appointment. Resolve continuity before expiry. If managing remotely, identify who prepares and signs documents and who obtains submission evidence.
Understand the Differences Between ND2A, ND2B and ND4
Identify the event before choosing a form. A secretary change does not require all three forms automatically.
| Form | Purpose | Key distinction |
|---|---|---|
| ND2A | Appointment or cessation, reported within 15 days afterwards | ND2B cannot substitute for changing the officeholder |
| ND2B | Changes in the same secretary's particulars, reported within 15 days | Confirm it remains the same individual or body corporate |
| ND4 | Resignation notice from a secretary with reasonable grounds to believe the company will not notify the Registrar | Not an automatic duplicate filing |
A corporate secretary changing its name differs from another entity taking over. Confirm whether the legal entity remains the same rather than comparing names alone.
If the company has delivered ND2A reporting the resignation, the resigning secretary need not deliver ND4. ND4 is required only where that secretary has reasonable grounds to believe the company will not notify the Registrar. It does not appoint the replacement. See the Companies Registry's directors and company secretary FAQ.
Before submission, reconcile names and effective dates with corporate decisions. Identify any simultaneous changes separately: one secretary-change form may not cover everything.
Hand Over Records, Account Access and Existing Obligations
Record each item's custodian, delivery method, missing material and completion date. This practical checklist does not replace checking each applicable legal requirement. A general handover acknowledgement without an inventory leaves unfinished work unclear.
| Category | What to collect | Completion check |
|---|---|---|
| Corporate and statutory records | Incorporation documents, articles, registers, share records, director and shareholder resolutions | Identify originals, copies, versions and missing items |
| Previous filings | Filed forms, submission evidence, rejected documents and outstanding corrections | Record status and a responsible person |
| Addresses and mail | Registered office, records location, scanning and forwarding arrangements | Maintain receipt of mail; clarify service end dates |
| Accounts and authority | Document storage, electronic filing permissions and recovery methods | Retain company control; revoke outgoing access appropriately |
| Work and deadlines | Annual returns, business registration, tax notices, accounting and audit matters | Preserve original deadlines and assign responsibility |
For remote handovers, obtain an inventory and readable electronic copies before shipping originals. Open downloaded files and check page completeness and versions. List the custodian and expected delivery date for outstanding documents; missing does not mean nonexistent.
Check the registered address separately. If it changes, deliver NR1 within 15 days after the address change. The secretary-change filing alone is insufficient. Distinguish the company's registered office, the secretary's address and records storage locations. See the statutory filing guide.
The SCR designated representative does not change automatically. For the Significant Controllers Register (SCR), the representative must qualify: for example, an individual member, director or employee of the company resident in Hong Kong, or an accounting professional, legal professional or TCSP licensee. Separately confirm the designation, representative's particulars and register location. If the storage location changes, check NR2 and its applicable requirements. See the SCR FAQ.
Handle each bank and payment platform separately. Check whether the outgoing provider remains a contact, administrator or authorised person. Follow each institution's procedures to add company administrators, renew authorisations and remove old permissions. Do not request personal accounts, shared logins or private authentication credentials.
Changing secretary does not reset the incorporation anniversary or remove existing NAR1 and tax obligations. An ordinary Hong Kong-incorporated private company within this guide's scope must still deliver NAR1 within 42 days after its original incorporation anniversary. Check exceptions such as statutory dormant status separately. Existing tax notices, extensions and unfinished accounting or audit work retain their applicable deadlines and require individual status checks. See the Companies Registry's annual return requirements.
Check Changeover Fees and Contract Terms
Request itemised quotations in Hong Kong dollars (HKD), including payment terms. Separate the incoming annual fee, changeover work and outgoing settlement to identify overlapping service periods and extra handover or correction charges.
| Item | Details to specify |
|---|---|
| Incoming annual fee | Service dates, inclusions, extras and renewal terms |
| Changeover work | Whether preparation, submission, corrections and handover are included |
| Outgoing settlement | Contractual basis for transfer-out fees, unpaid amounts and unfinished work |
| Prepayments | Treatment of unused periods, refund terms and processing time |
| Additional arrangements | Separate contracts or charges for addresses, mail and the SCR representative |
For government fees or disbursements, request the item, triggering event and supporting evidence, separately from service fees. An annual government fee is not automatically payable for every secretary change.
Check the existing contract's notice period, service end date, document delivery date and dispute procedure. Transfer-out charges, refunds and prorating depend on specific terms and circumstances. Read more about company secretary annual fees and quotation items, but do not treat an annual package price as your changeover quotation.
Verify Completion and Plan the Next Steps
A provider's completion message still needs checking against filing results and the actual handover:
- Retain final signed documents, submission records and subsequent notices where the company can access them independently.
- Establish whether documents have been registered or require correction. Keep submission evidence separately from registration results.
- Reconcile company registers, filed particulars and actual appointments, including names and effective dates.
- Confirm address, mail, SCR, bank and platform arrangements; record outstanding items.
- Review upcoming obligations, retaining each original deadline, responsible person and next action.
For discrepancies, establish whether the document, submission status or internal record is wrong before deciding how to correct it. Keep unresolved items open until completed.
Before seeking case-specific help, prepare the company type, current secretary's full name, proposed change date, upcoming deadlines and existing contract terms. Ask Chan & Chung whether it can assist, what its current service scope covers and who would undertake the work. Confirm deliverables and pricing; do not assume the brand provides every activity discussed here.
